1. Agreement

These Terms of Service (“Terms”) govern use of basethic.com and any services provided by Basëthic LLC (“Basëthic,” “we,” “us,” or “our”), including the Mergestalt platform and any related consulting, systems design, or automation work. By engaging Basëthic’s services or using basethic.com, you agree to these Terms.

2. Our services

Basëthic provides revenue operations consulting and builds operational systems for clients, primarily for service businesses. This includes designing and operating CRM, scheduling, invoicing, and communication workflows using Baserow, n8n, and Anthropic’s Claude AI, and connecting those systems to a client’s existing tools, including QuickBooks Online, Connecteam, and the client’s business email.

3. Client responsibilities

A client engaging Basëthic’s services is responsible for:

  • Having the legal right to share the data and connect the third-party accounts (QuickBooks, Connecteam, email, etc.) involved in the engagement.
  • Reviewing and approving any customer-facing or employee-facing communication before it is sent, including anything drafted with AI assistance. Basëthic does not send communications to a client’s customers or employees without the client’s review and approval, except where the client has explicitly authorized a specific automated communication in writing.
  • Maintaining its own compliance obligations (for example, wage and hour recordkeeping, tax reporting) independent of the tools Basëthic builds; Basëthic’s systems are built to support that recordkeeping, not to serve as a substitute for the client’s own legal compliance judgment.

4. Third-party services and data access

Where our services connect to a client’s QuickBooks Online account, that connection is authorized directly by the client through Intuit’s own OAuth login, and can be revoked by the client at any time from within QuickBooks. We access only the data scopes necessary to provide the agreed service (customer, estimate, invoice, and payment records) and do not use QuickBooks data for any purpose outside the client’s own engagement. Use of the QuickBooks Online API is subject to Intuit’s own developer and API terms in addition to these Terms.

The same principle applies to any other connected third-party service (Connecteam, email, etc.): access is authorized by the client, scoped to what the engagement requires, and revocable by the client at any time.

5. Data ownership

The client retains ownership of its own business data at all times: customer records, financial data, employee data, and correspondence. Basëthic’s role is to operate and automate systems on the client’s behalf, not to acquire rights in that data. Upon termination of an engagement, the client’s data will be returned or deleted per our Privacy Policy.

6. AI-assisted work

Some work performed under an engagement uses Anthropic’s Claude AI to classify correspondence, draft routine text, or extract data from documents or receipts. AI output is a drafting aid, not a final decision-maker: anything that reaches a customer, employee, or financial system is reviewed by a person before it takes effect, except where a client has explicitly authorized a fully automated step in writing (for example, a scheduled internal reminder). Basëthic does not warrant that AI-generated content is error-free, and clients are expected to review AI-assisted output relevant to legal, financial, or safety matters before relying on it.

7. Availability and support

Basëthic’s systems are typically self-hosted on infrastructure we control. While we take reasonable steps to maintain uptime and security, we do not guarantee uninterrupted availability, and we are not liable for business losses arising from downtime, third-party service outages (QuickBooks, Connecteam, hosting provider, etc.), or issues in a connected service outside our control.

8. Limitation of liability

To the extent permitted by law, Basëthic’s total liability for any claim arising from these Terms or our services is limited to the amount paid by the client for the specific service giving rise to the claim in the preceding three months. Basëthic is not liable for indirect, incidental, or consequential damages, including lost profits or lost data, except where caused by our gross negligence or willful misconduct.

9. Termination

Either party may terminate an engagement per the terms of the applicable service agreement or statement of work. Upon termination, data handling follows Section 5 above and our Privacy Policy.

10. Governing law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.

11. Changes to these Terms

We may update these Terms as our services change. Material changes will be reflected here with an updated “Last updated” date. Continued use of our services after a change constitutes acceptance of the updated Terms.
